These Terms of Service ("Terms") govern your access to and use of PlugGTM, an AI-powered Go-To-Market Operating System operated by Meridium Holdings, LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

• "AI" means artificial intelligence and large language models used to power the Service.

2. Eligibility and Account Registration

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.

PlugGTM provides AI-powered tools for Go-To-Market operations, including:

• Brand DNA onboarding and management
• AI-powered content generation (blog posts, social media, etc.)
• Strategy discovery and management
• Content publishing and distribution
• Analytics and insights

3.2 Acceptable Use

You agree NOT to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Create content that infringes intellectual property rights of others
• Generate spam, misleading content, or content intended to deceive
• Produce content that violates any applicable laws or regulations
• Attempt to bypass rate limits, security measures, or access restrictions
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems to access the Service without authorization
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity
• Collect or harvest user data without consent

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

4. AI-Generated Content

4.1 Nature of AI Content

The Service uses artificial intelligence to generate content. You acknowledge and agree that:

• AI-generated content is produced algorithmically and may contain errors, inaccuracies, or inconsistencies
• AI-generated content may not be unique and similar content may be generated for other users
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content
• You are solely responsible for reviewing and editing all content before use or publication
• AI-generated content should not be used for legal, medical, financial, or professional advice

4.2 Content Review Responsibility

YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND EDITING ALL AI-GENERATED CONTENT BEFORE PUBLICATION OR USE. WE STRONGLY RECOMMEND HUMAN REVIEW OF ALL GENERATED CONTENT.

4.3 No Guarantee of Results

We do not guarantee any specific results, outcomes, or performance from using AI-generated content, including but not limited to SEO rankings, engagement metrics, lead generation, or revenue.

5. Intellectual Property Rights

5.1 Service Ownership

The Service, including its original content, features, functionality, design, and underlying technology, is and will remain the exclusive property of Meridium Holdings, LLC. The Service is protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain ownership of User Content you submit to the Service. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store your User Content solely for the purpose of providing the Service.

5.3 Generated Content Ownership

Subject to your compliance with these Terms and applicable laws:

• You own the Generated Content created for your Organization through the Service
• We retain no ownership rights to your Generated Content
• You are responsible for ensuring Generated Content does not infringe third-party rights
• We may use anonymized, aggregated data to improve the Service

5.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property, and we may use such feedback without compensation or attribution.

5.5 Trademarks

"PlugGTM," "Meridium Holdings," and associated logos are trademarks of Meridium Holdings, LLC. You may not use these marks without prior written permission.

6. Payment and Billing

6.1 Fees

Certain features of the Service may require payment. You agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise stated or required by law.

6.2 Subscription Terms

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MERIDIUM HOLDINGS, LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service, including AI-generated content
• Unauthorized access, use, or alteration of your transmissions or content
• Errors, inaccuracies, or omissions in AI-generated content
• Any reliance on content generated by the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless Meridium Holdings, LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of and access to the Service
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property rights
• Your User Content or Generated Content
• Any content you publish using the Service
• Any claim that your content caused damage to a third party

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us or through your account settings.

10.2 Termination by Us

We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including if you breach these Terms.

10.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10.4 Data After Termination

We may retain your data for a reasonable period after termination for backup, archival, or legal purposes. You may request deletion of your data by contacting us.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

11.2 Arbitration

The arbitration shall be conducted in Delaware. Judgment on the arbitration award may be entered in any court having jurisdiction.

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Notwithstanding the above, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.
